Rules and requirements for IFZA company formation in the UAE

Companies

The process of UAE company formation in the IFZA free zone begins after the applicant completes and submits the relevant application form and pays the required fees.

The application for UAE company formation in the IFZA free zone may be turned down in some rare cases. If the reason for such refusal is connected with the applicant, one of the Fujairah company shareholders or managers (including the cases when such a person is turned down by the relevant UAE authorities for security reasons), any fees paid by the applicant to the IFZA Department for the Establishment Card and the E-Channel subscription shall be reimbursed to the applicant by the IFZA Department. No other fees paid by the applicant to the IFZA Department will be refunded.

The IFZA Department (responsible for the establishment, registration, and regulation of IFZA companies) has the right to request any additional documentation, information, and (or) clarifications from the applicants that may be required from time to time. 

By signing the Fujairah Company Registration Terms, the applicants warrant that they are not involved in any illegal activity, money laundering, or any other illegal or immoral activity that could in any way adversely affect the reputation of IFZA, the Government of the Emirate of Fujairah, or the reputation of the United Arab Emirates as a whole. 

The application for UAE company formation in the IFZA free zone is approved at IFZA’s sole discretion.

IFZA free zone reserves the right at any time to turn down any application or require a guarantee or any other type of document from any applicant. 

Any IFZA company is only allowed to engage in business activities consistent with its licenses.

Companies that violate this condition and conduct their operations in a manner inconsistent with their license and/or applicable rules and regulations may be subject to penalties. 

Any IFZA company may be canceled and deregistered at any time by the resolution of shareholders and IFZA approval.

IFZA will only grant such approval and deregister the Fujairah company if all applicable requirements have been met and there are no monetary obligations to IFZA or third parties.

IFZA free zone shall reimburse license or other fees if such application for cancellation and deregistration has been made after the issuance of the license and/or during its validity term. 

If the license is not renewed within a maximum period of 30 days upon its expiration, a fine may be imposed on the Fujairah company. 

Companies registered in IFZA free zone may conduct their business within IFZA or elsewhere in accordance with applicable laws and regulations. 

Visas

The following rules apply if the Fujairah company has the right to issue UAE resident visas, which depends on the selected license package. 

The UAE visa rules and regulations may be amended from time to time by the relevant UAE and Fujairah authorities. 

The Fujairah company must have an Establishment card and an E-Channel subscription in order to apply for a UAE residence visa. Applicable fees for the Establishment card and E-Channel subscription (as well as for the visa itself) are payable in IFZA. The E-Channel subscription allows IFZA free zone to apply for UAE visas online on behalf of the Fujairah company.

Thus, any IFZA company is required to renew the Establishment card and E-Channel subscription before their expiry to be able to apply for visas and ensure that employee and/or investor visas remain valid.

Failure to do so will result in a fine determined by the Emirate of Fujairah’s migration authorities. 

UAE resident visas issued by the Emirate of Fujairah Migration Service through the IFZA free zone are valid for the duration of the applicable license package selected for the company.

Any IFZA company is responsible for ensuring that employees have valid UAE resident visas and that these visas are renewed or canceled in a timely manner. 

The IFZA free zone will not be held responsible if a Fujairah company employee exceeds the period of stay authorized by his/her visa. Also, IFZA will not be liable for any fines imposed by the migration authorities in the Emirate of Fujairah as a result of visa terms violation. 

The IFZA free zone bears no responsibility if a visa is denied by the migration authorities of the Emirate of Fujairah. 

IFZA is not allowed to exceed the number of UAE visas provided under the selected license package. 

All licensees are responsible for settling their financial obligations with their employees (wages, allowances, vacation time, etc.) under the employment contract with such employees to be entered into in accordance with the UAE employment laws.
