The previous rules which allowed non-resident companies not to pay corporate income tax were valid until June 30, 2021. However, the situation has not changed much.

Resident companies are taxed at the rate of 33%, and non-residents pay 33% on income earned in St. Kitts and Nevis. The international income of a non-resident company is not subject to tax. To remain a non-resident company, you have to avoid management from the island or physical presence (of a sales representative, for example) in the country.

The island remains a profitable jurisdiction for business registration, asset ownership, and protection, and an LLC in Nevis is especially suitable for this purpose.

You can be the sole company owner, and you will need only one director in this case. If you decide to increase the number of shareholders, at least 3 directors will be needed. Legal entities can be nominated directors, too.

After registration, a Nevis company can use nominee directors, shareholders, and managers. The positions of President and Treasurer must be held by private persons.

The directors, shareholders and officers of a Nevis company can be residents of any country.

The recommended authorized capital at company registration in Nevis is $50,000, but you can just pay for one 1-dollar share for one shareholder.

At the moment, Nevis requires keeping accounting records but does not require submitting them or conducting an audit. We highly recommend that you keep adequate records, though, for the following reasons:

  • You need proof of the legal origin of funds.
  • Reporting makes it easier to control cash flows.
  • Banks require reporting to open accounts, especially for offshore companies, which adds to quite a complicated procedure of opening an account they have to undergo
  • Nevis may impose additional requirements at any time under pressure from international partners. It seeks not to do more than is necessary, but reporting is an important point in international criticism aimed at offshore companies

Registration of a BC in Nevis is suitable for the following cases:

  • You have a lot of shareholders at present or you are planning to expand the list of shareholders and transfer shares to third parties (including inheritance).
  • A BC registered in Nevis is the only option to use if you are setting up a trust in Nevis (which is a powerful, secure instrument for storing assets and increasing capital with a high degree of personal data confidentiality).
